Job Description
The scope of work includes the following :
• handling company board, committee and general meetings including preparation of agendas, papers, notices, drafting resolutions, committee terms of reference, minutes and maintaining actions logs, statutory registers, etc.
• managing company filings with the Registrar of Companies, maintenance of corporate records, books and registers including annual reports and financial statements
• advising on Directors' duties and responsibilities.
• compliance with statutory and regulatory requirements.
• ability to write concise and accurate minutes.
• well-developed interpersonal skills, with the ability to communicate / engage with (and become a trusted adviser to) various stakeholders.
• ability to display a culture of individual ownership of tasks with an individual sense of accountability in performing the role. • well organized with good attention to detail.
• ability to work under pressure and to tight deadlines and balance competing and conflicting priorities.
• confident, assertive, collaborative and 'can do' attitude.
• ability to work autonomously as well as part of a team. • proven experience working with highly sensitive and confidential information. Academic / Professional Qualifications
• Registered Company Secretary with ICSA and/or relevant legal qualificatons.
• Previous experience of 3-5 years working as a Company Secretary of a quoted company.
• Good knowledge of corporate law/corporate governance / applicable regulatory and statutory regulations.
