Job Description
Key responsibilities:
• handling company board, committee and general meetings including preparation of agendas, papers, notices, drafting resolutions, committee terms of reference, minutes and maintaining actions logs, statutory registers etc.
• managing company filings with the Registrar of Companies, maintenance of corporate records, books and registers including annual reports and financial statements
• advising on Directors' duties and responsibilities
• compliance with statutory and regulatory requirements
• ability to write concise and accurate minutes.
• well-developed interpersonal skills, with the ability to communicate/engage with (and become a trusted adviser to) various stakeholders
• ability to displays culture of individual ownership of tasks with an individual sense of accountability in performing the role. • well organised with good attention to detail.
• Ability to work under pressure and to tight deadlines and balance competing and conflicting priorities
• confident, assertive, collaborative and "can do" attitude
• ability to work autonomously as well as part of a team.
• proven experience working with highly sensitive and confidential information
Academic/Professional Qualifications
• Registered Company Secretary
• Previous experience of minimum 5 years working as a Company Secretary of a quoted company
• Good knowledge of corporate law/corporate governance/applicable regulatory and statutory regulations
